Company Formation
 
If you have decided to trade under a company, you need to first incorporate a company with the Companies Office and apply to the Inland Revenue for an IRD number. The company may need to register for GST and FBT with the Inland Revenue also.
Company Secretarial Admin
 
We provide the following company secretarial services:
  • Company restoration with the Companies Office
  • Filing of company annual returns with the Companies Office
  • Minutes for Special General Meetings
  • Share transfer documentation and lodgment with the Companies Office
Contractor Services
 
If you are self employed as a sole trader contractor or in a partnership you will need to deduct RWT off your invoice amount. If you are trading under a company, RWT does not apply but other taxes may need to be considered.
Debt Forgiveness
 
Any amount forgiven by the settlors to the trust should be documented and reflected in the trusts statement of financial position (balance sheet). 
Gifting
 
Before 1/10/2011, any person who gives gifts of more than $27,000 within a 12 month period is subject to gift duties.  Gifts made on or after 1 October 2011 are not subject to gift duties.

Insolvency
 
For business people the world over, a single commodity is more important than any other for the survival and success of an enterprise, regardless of size.  When that commodity is in short supply inevitably the enterprise commences what all too often becomes an unrecoverable downward spiral.

The commodity is cash, when you have insufficient cash to meet your obligations (debts) as they fall due, you are technically insolvent.  There are other tests that may be applied; however this is the principal test that all company directors must be aware of.
Liquidations
 
Liquidation is the corporate, or company, version of a personal bankruptcy.   There are two principal methods for putting a company into liquidation:
  1. The High Court, on the application of an unpaid creditor, can order that a Company is put into liquidation; the Court will appoint the liquidator, usually nominated by the unpaid creditor. 
  2. Alternatively the shareholders, on the passing of a Shareholders’ Special Resolution with a 75% majority, are able to appoint their own liquidator.  There are statutory time limitations that apply with a shareholder’s appointment, seeking specialist advice immediately when you receive notice of demand is therefore critical if you wish to appoint a liquidator of your choosing.
Once the liquidation is completed the company is struck off the Companies Office register and the company ceases to exist.
