Annual returns
 
Companies must file an annual return with the Companies Office every year. Each company has an allocated filing month. A company is not, however, required to file an annual return in the calendar year of its incorporation.

What is a business plan?

Company Cessation
 
Depending on the circumstances, the costs and processes involved winding up a company varies significantly. A simple cessation may involve advising the Inland Revenue and the Companies Office of such cessation; a complex cessation may require the service of a liquidator.
Company Formation
 
If you have decided to trade under a company, you need to first incorporate a company with the Companies Office and apply to the Inland Revenue for an IRD number. The company may need to register for GST and FBT with the Inland Revenue also.

Corporate Tax & Tax Opinions

Fringe Benefit Tax (FBT)
 
Fringe benefit tax (FBT) is a tax on benefits that employees receive and enjoy as a result of their employment. FBT replaces the PAYE tax that would be deducted from the employee if the employee was given the money to purchase the benefit as part of salary or wages instead of the actual benefit.

Fringe benefits (perks) include most benefits given to employees in addition to their salary or wages.
Financial Statements
 
A company is required to prepare annual financial statements and tax returns and lodge these with the Inland Revenue.
A New Zealand incorporated company with a foreign company tax status will be required not only to file the financial statements and tax return with the IRD but also lodging the financial statements with the Companies Office.
Goods and Services Tax (GST)
 
Most goods and services provided in New Zealand are subject to GST. A tax payer has to register for GST if income for the next twelve months is expected to be greater than $60,000.
